Al Martin Presents at Spring Meeting of ABA Tax Section
Lathrop Gage attorney Al Martin (Health Care, Corporate & General Business - Overland Park) delivered two presentations at the Spring Meeting for the ABA Tax Section on May 8 in Washington, D.C. "Sale Of Personal Goodwill - What's New; How To Do It" and "Buy-Sell Agreements; Severance Pay Under Final 409A Regulations" both analyzed recent developments in the two respective topics.
First, the topic of personal goodwill was addressed. Mr. Martin spoke with Mary Gorman of the IRS, and practitioners Morton Harris and Bill Prescott about how corporate acquisitions can possess significant after-tax effects on buyer and seller, and how personal goodwill is marketable property that exists when the seller's reputation, expertise, or contacts gives the entity part of its intrinsic value. As an attorney, Mr. Martin has counseled many buyers and sellers in business transactions. He is also currently President and a director of the Small Business Council of America, a national tax and employee benefits lobbying group. Additionally, he has testified in Congress regarding federal tax legislation. He was a delegate to the 1995 White House Conference on Small Business and 2006 Savers' Summit, Washington, D.C.
Mr. Martin was again joined by Messrs. Harris and Prescott for a detailed analysis of buy-sell agreements and new section 409A's effect on severance pay. A co-author of the 2009 Aspen publication, The Limited Liability Company and Partnership Answer Book, Mr. Martin's representations have included management investors involved in taking companies private; the sale of stock, assets, mergers, acquisitions, spin-offs and split-ups, and numerous health care entities.
