Robert Cantwell and Michael Adrian Join Lathrop Gage

ST. LOUIS (February 14, 2012) – Lathrop Gage LLP recently announced the expansion of its St. Louis office with the addition of Robert Cantwell and Michael Adrian to the corporate department, as a partner and of counsel respectively. The firm’s St. Louis office operates a full-service, business-focused practice. Cantwell and Adrian joining the firm will broaden the resources available to business clients while enhancing the regulatory, lending and business transaction services offered by the firm.

Cantwell concentrates his practice in the areas of corporate and regulatory law with an emphasis on gaming, banking, franchise, corporate finance, mergers and acquisitions and business transaction services. Focusing on value and efficiency, he provides creative, practical solutions to complex legal hurdles facing clients in a number of industries. He has represented a broad spectrum of clients, ranging from start-up entities to international investment funds and publicly traded companies; including representing two international private equity funds in the largest consummated gaming acquisition thus far, and successfully obtaining state regulatory approval for the acquisition under a novel gaming structure in concert with a multi-jurisdictional team. He regularly appears before and communicates with various regulatory agencies related to gaming licensing, franchise registration and other business licensing matters, including the Missouri Gaming Commission, the Illinois Gaming Board, and various state securities agencies. He also handles a variety of general entity governance and operational stability matters, advising boards of directors and management with respect to structure, business expansion strategy, and internal and third party agreements. Prior to joining the firm, Cantwell served as a partner at Gallop, Johnson & Neuman, L.C.

Adrian has extensive corporate law experience assisting entrepreneurs, privately held businesses and publicly traded corporations on a variety of issues, including entity formation, regulatory compliance, mergers and acquisitions, complex commercial transactions and capital expansion. He routinely counsels clients regarding corporate governance issues and acquisition/divestiture strategy. His experience also includes governmental and regulatory matters involving gaming operators, suppliers, related parent companies and individual licensees. Adrian has substantial experience with assisting in securities reporting and compliance. Prior to joining Lathrop Gage LLP, Adrian was a partner at Gallop, Johnson & Neuman, L.C.

Cantwell received his bachelor of science in accounting and marketing from Saint Louis University. Adrian received his bachelor of arts in history and political science from Marquette University. Both earned their juris doctorates from Saint Louis University School of Law with honors.
