Brandi Lawler advises health care, nonprofit and closely held business clients on complex transactions as well as day-to-day corporate and regulatory matters. Her practice includes mergers and acquisitions, joint ventures, corporate governance and commercial contracting.

  • Health Care: Advising health care systems, medical technology companies, dental and optometry practices, and related organizations on transactions, joint ventures, strategic partnerships, contracting, management service organization relationships and regulatory matters.
  • Mergers & Acquisitions: Guiding buyers and sellers through complex transactions, including asset acquisitions, divestitures and multi-faceted equity transfers.
  • Corporate & Business Law: Advising on entity formation, corporate governance and commercial agreements.
  • Private Equity & Venture Finance: Supporting funds and emerging companies with capital raises, fund formation and investment management.

Before joining Lathrop GPM, Brandi practiced at a boutique Minnesota-based firm where she focused on corporate law and energy and in the international corporate group of a multinational firm. While earning her J.D., Brandi was a federal judicial extern for the Honorable Donovan W. Frank of the Federal District Court – District of Minnesota. In addition to her legal experience, Brandi worked for a multinational consumer electronics retailer as a statistical demand forecast analyst and has an in-depth knowledge of the minerals exploration industry gained through her on-going pursuit of a Ph.D. in Economic Geology, Geochemistry and Magmatic Processes.

  • Advised the general partner of an international impact fund with fund governance, side letter negotiations and investment management agreement amendments.
  • Represented an investment fund through minority investment transactions.

  • Guided a technology company through multiple angel investments and preparation for VC funding.
