Brendan is unique among Silicon Valley business attorneys because he provides both sophisticated tax advice to companies and their owners while tactically navigating them through their business and transactional matters. These matters include mergers and acquisitions, reorganizations, joint ventures, strategic transactions, and other general tax and corporate representation.

Brendan also works with business owners and high-net worth individuals to provide Family Office services that are personalized, sophisticated, and seamlessly integrated to accomplish tax efficient restructuring of family business and real estate holdings, while navigating family, governance, and generational dynamics.

His primary focus is on:

  • Entity formation and tax classification of domestic and international businesses
  • Financings and investment
  • Providing legal counsel to middle market and portfolio companies
  • Key operational contracts and agreements
  • Taxable and tax-free mergers and acquisitions, including complex private equity sales and rollovers

Brendan helps businesses anticipate and plan for the complex tax jurisdictional and compliance requirements that accompany growth. He also advises businesses on cross-border transactions with a concentration on direct investment in the U.S. and provides tax advice on foreign operations. Brendan also has special international tax experience representing individuals and foreign entities with offshore bank accounts to ensure their financial assets become compliant for federal and state purposes.

Brendan was selected to Northern California Super Lawyers Ones to Watch list from 2009 to 2011 and prior to joining the firm, he served as a Director in the Corporate, Tax and Business Department at Carr McClellan.
