Theresa Nolan Breslin is an associate in the firm’s Franchise & Distribution Practice Group. She represents franchisors in franchise and commercial disputes in federal and state courts throughout the United States. Her practice focuses on franchise agreement enforcement, restrictive covenant disputes, wrongful termination claims, encroachment and territorial disputes, trademark enforcement, and other matters arising from the franchise relationship.

Theresa assists franchisor clients in all stages of franchise disputes, from pre-suit strategy through litigation and arbitration. She has substantial experience prosecuting claims involving breaches of franchise agreements, including noncompete covenants, trademark infringement, and unpaid royalties, fees, and other contractual obligations. She also has experience defending franchisors against claims involving wrongful termination, encroachment and territorial rights, and alleged misrepresentations made in connection with the sale of franchises.

In addition to her substantive franchise law experience, Theresa has developed particular knowledge of the procedural issues that frequently arise in franchise litigation. She has successfully briefed motions involving jurisdiction, venue, and arbitration enforcement, and regularly advises clients on forum-selection, choice-of-law, and other dispute-resolution provisions that help ensure consistent administration of franchise systems across jurisdictions.

Prior to joining the firm, Theresa served as a law clerk to the Honorable Peter J. Messitte of the U.S. District Court for the District of Maryland. She also served as Chambers Counsel to the Honorable Douglas R.M. Nazarian of the Appellate Court of Maryland and as a law clerk to the Honorable W. Matthew Stevenson of the Florida Fourth District Court of Appeal. Her judicial experience provides valuable insight into effective advocacy at both the trial and appellate levels.

Theresa earned her J.D., summa cum laude, from the University of Miami School of Law, where she served as Senior Articles Editor of the University of Miami Law Review. She received her B.A., magna cum laude, in Political Science from Belmont Abbey College, where she was a three-time All-American on the women’s lacrosse team.
