Jeffrey Sprain is an accomplished corporate attorney with more than two decades of experience advising public and private companies on complex business, finance and governance matters. He brings deep in-house leadership experience, having served as the general counsel and a senior executive for real estate investment, development and operating companies. He guides clients through the entire business lifecycle, from formation and capital raising to strategic initiatives, exit transactions, and ongoing compliance.

Jeffrey focuses his practice on corporate governance, mergers and acquisitions, securities, private placements and executive compensation. He regularly advises on equity and debt financings, including private funds and REIT structures; SEC reporting and compliance; executive compensation matters; and operational legal issues for both growing and mature organizations. His background includes leading legal teams, partnering closely with executive leadership and boards of directors, and providing practical business-oriented counsel aligned with long-term strategic goals.

Prior to joining the firm, Jeffrey served as general counsel and corporate secretary for a public real estate investment and operating company, where he advised on an initial public offering, various secondary and non-traded offerings, multibillion-dollar portfolio growth initiatives, public reporting obligations, and capital markets transactions. Earlier in his career, he practiced as a corporate associate at Am Law firms, advising clients on mergers and acquisitions, private equity transactions, financings, public company compliance and general corporate matters. Jeffrey also brings a unique technical background, having earned an engineering degree and served as an officer in the U.S. Air Force.
