Carrie Keller

Carrie Keller provides legal guidance to businesses on a number of real estate and corporate matters. She works with a broad spectrum of manufacturing, construction and service-based businesses in all aspects of their business legal needs, including leading all aspects of real estate transactions, mergers, acquisitions and divestitures, and corporate finance.

Real Estate

Carrie advises clients on all aspects of commercial real estate transactions including negotiating and drafting purchase and sale agreements, closing documents, leases, easements, development agreements, letters of intent, and related documents, including reviewing and negotiating financing documents. Carrie has experience overseeing corporate real estate portfolios and managing related real estate transactions.

Corporate

Carrie advises clients across the full spectrum of general business and commercial operations. This includes negotiating and drafting employment agreements, confidentiality and non-competition agreements, purchase orders, terms and conditions, master service agreements, wholesale, distributor, supplier and vendor agreements, subcontracts and agreements related to commercial transactions and commercial financing.

Further, Carrie advises and counsels clients on matters related to business formation, capitalization, recapitalization, funding and financing, private equity and venture capital transactions together with negotiation, structuring, and drafting documentation of same, including operating agreements, shareholder agreements, partnership agreements, joint venture agreements, private placement memoranda, and participation agreements.

Carrie brings a unique perspective when advising on corporate matters having recently served as General Counsel and Director of Human Resources for a St. Louis-based construction company. In this role she provided ongoing direction on all legal matters impacting the operating risks of the company.
