Scott Malin Presents on Shareholder Agreements through Thomson West

This session just under three hours covers many issues in shareholder agreements, including transfer restrictions, cross-purchase vs. redemption, buy-out triggers, S corporation provisions, ways to determine purchase price in an agreement, estate and gift tax issues, life insurance, voting, and compensation. Materials include over 90 pages of analysis on shareholder agreements, a 66-page set of form provisions to be contrasted with a 26 page form, a checklist, and a way to deal with life insurance in cross-purchase arrangements.

Mr. Malin practices in the areas of estate planning, business succession planning, probate, taxation and general business law. He is an Adjunct Professor at the Washington University School of Law in the Master's of Taxation Program where he teaches a class in business succession planning. Mr. Malin is a frequent lecturer and speaker on estate planning, business succession planning and tax issues for many civic and bar organizations.
