MINNEAPOLIS (April 2, 2026) — Lathrop GPM is pleased to announce that Jeffrey Sprain has joined the firm’s Business Transactions practice group in the Minneapolis office.

Sprain brings more than 20 years of experience advising public and private companies on complex corporate governance, securities and transactional matters. His practice focuses on corporate governance, mergers and acquisitions, capital markets, private placements, and general business counseling. He has extensive experience partnering with executive leadership teams and boards of directors to support strategic growth initiatives and navigate regulatory and operational challenges.

Prior to joining the firm, Sprain served in senior in-house legal and executive roles, including as general counsel and corporate secretary for a public real estate investment and operating company. In that role, he advised on capital raising initiatives, SEC reporting and compliance, corporate governance, executive compensation and mergers and acquisitions. His experience spans public company matters, private funds, REIT structures and commercial real estate transactions.

Earlier in his career, Sprain practiced as a corporate associate at Am Law firms, where he represented clients in mergers and acquisitions, private equity transactions, financings and general corporate matters. He also served as an officer in the U.S. Air Force and has a technical background in electrical and computer engineering, further strengthening his ability to advise clients on complex and highly regulated matters.

Sprain earned his J.D. magna cum laude from the University of Minnesota Law School and his B.S. in Electrical and Computer Engineering from the University of Wisconsin-Madison, with highest distinction. He is a member of the Association of Corporate Counsel (ACC), the State Bar of Georgia and the Minnesota State Bar Association (MSBA).
