Damon E. Schramm

Damon Schramm focuses his practice on business law with an emphasis on corporate transactions, mergers and acquisitions, governance, debt and equity finance, securities, and casino gaming. His strong business, strategy, legal and negotiations background makes him a trusted advisor to his executive-level clients. 

He has experience leading all phases of challenging transactional engagements from preliminary/conceptual advice, through structuring, due diligence, negotiating, drafting, closing, integration and post-closing conflict resolution. Damon has worked as the key legal advisor in complex transactions valued anywhere from $1 million to over $500 million. 

Most recently, Damon worked as the Chief Legal Officer of a public technology company that offers web and app-based technology solutions in the restaurant delivery service industry. Damon oversaw the legal and human resources departments in addition to providing legal and strategic advice to executives, business partners, and the board in the areas of SEC compliance, corporate governance, intellectual property, complex transactions, media/advertising, real estate (including lease negotiation), and employment law. Damon oversaw the post-merger integration of employees as well as lead the oversight for all complex commercial transactions including finance, joint ventures and M&A transactions.

Corporate Transactions

  • Mergers & acquisitions valued from less than $1 million to over $300 million in the technology, gaming, manufacturing, digital, and retail sectors
  • Securities offerings including private Regulation D offerings, public registered offerings, At The Market offerings, secondary public offerings, SPACs, and PIPEs
  • Over $1 billion in debt financing, including revolving credit agreements, high yield bond offerings, swap agreements, variable and fixed term loan agreements, and convertible debt
  • 34 Act securities filings including periodic reports (e.g., Form 8-K, 10-K and 10-Q), proxy statements, Section 16 filings
  • Complex corporate agreements including technology, distribution, professional services, and vendor agreements

Corporate Governance

  • Advise Board of Directors on corporate governance issues related to securities offerings, shareholder activism, mergers & acquisitions, and litigation
  • Advise special committees of Board of Directors on litigation, mergers & acquisitions, and potential conflict issues


  • Debt financing for development and construction of full service casino resorts, including construction and FF&E financing
  • Negotiation of agreements relating to construction of casino resorts, including development, and construction, FF&E, vendor agreements
  • Licensing and regulatory compliance with respect to casino gaming, including applications, backgrounding, special and periodic filings, and resolving complaints/citations/notices of non-compliance
  • Appearance before numerous federal, state, local and tribal regulatory bodies
