Aly R. Brandvold

Aly Brandvold focuses her practice in the areas of mergers and acquisitions, corporate governance and general business law. Aly represents public and private companies and private equity firms in a variety of industries in mergers, acquisitions, recapitalizations, and other general corporate and commercial transactions. Aly advises business owners and companies on all aspects of stock and asset transactions, including drafting and negotiating letters of intent, working with investment bankers and clients to conduct due diligence, drafting and negotiating acquisition documents, managing the completion of transactions, and resolving post-closing matters. She also advises businesses on legal issues encountered throughout their life cycles, including corporate structuring and entity formation, corporate governance, contract negotiation, and general business matters.

When Aly is not practicing law, she enjoys renovating her 1908 house, hiking, reading, and spending time with her family at their cabin in northern Wisconsin.

Representative Experience 

• Represented a multi-state HVAC and service contractor in connection with its acquisition of a residential heating and air conditioning company serving regions of Washington state.
• Represented BerganKDV on the sale of its business to a major wealth management firm. This deal was one of the first acquisitions of a top 60 CPA firm by a major wealth management firm.
• Represented a technology company in connection with its purchase of a publishing consultancy and editorial service provider.
• Represented a medical device manufacturer on the sale of its business to a strategic acquirer.
• Represents businesses on matters ranging from entity formation, contract drafting and negotiation, corporate reorganization, and tax planning.
• Represented privately held frozen food manufacturer in its acquisition of distribution business throughout the mid- and southwest.
• Represented privately held distributor of welding products and supplies in multiple acquisitions diversify its holdings, expand its geographic reach and broaden its product offerings.
• Represented privately held trailer manufacturer in disposition to strategic buyer.
• Represented a regional feed products company in multiple acquisitions expanding their product line and customer base.
• Represented Massman Companies, Inc. in its acquisition of New England Machinery, Inc. and DTM Packaging, LLC.
• Represented Granite Partners, a private investment and holding company, in a platform investment in the heavy manufacturing industry.
• Advised multiple clients on the formation, private security offering, and operation of private equity investment funds.
• Advised clients on the formation and private security offering of real estate investment funds.
