Jeffrey C. Anderson

J.C. Anderson advises individuals and companies on all types of business law matters, including investment matters, mergers and acquisitions, shareholder agreements, special committee duties and executive compensation. In the securities area, he advises public companies on complying with state and federal securities laws, including the rules of the various exchanges and automatic quotation systems. He works with individual investors and both public and private companies on all types of financing transactions from private offerings and venture financings to public offerings. J.C. utilizes his many years of legal experience to provide practical, cost-effective advice to accomplish a client's legal goals. 

Representative Experience

• Represented the special committee of Turning Point Brands, Inc. in connection with securities and governance issues involved with the Company’s $330 million merger with Standard Diversified, Inc.
• Represented National American University Holdings, Inc. in connection with an underwritten public offering in connection with its merger into a SPAC
• Represented Famous Dave’s, Inc. in connection with the formation of a publicly traded holding company restructuring
• Representing public companies, including a former SPAC, in ongoing compliance with securities regulations, including Sarbanes-Oxley compliance issues
• Negotiated on behalf of a start-up company the terms of the secured financing and equity investment from a large national insurance company
• Assisted a large foundation with review of private fund documentation
• Counseled the board of a company on rejecting an unsolicited take-over offer
• Advised an ESOP on the corporate and securities issues involved with a leverage buy-out of sponsoring company
• Advised Cooperatives on compliance with state and federal securities laws
• Represented various medical products companies in financing transactions
• Counsels various publicly held companies on the legal issues involved with establishing and maintaining equity compensation plans
• Advised a local frozen-food company on its finance transaction with a consortium of national venture capitalists
• Represents a private equity firm in connection with financings, acquisitions and divestitures
• Represented companies in going public transactions by means of a reverse merger
• Assisted a national health care organization with a joint venture arrangement with an internet company
• Represented a startup natural ingredients company with its formation and its private placement through a local broker dealer
• Assisted foundations and wealthy individuals with review of Investment Manager agreements
